Terms of Service

1. Acceptance of Terms

By accessing and using APIAtlas, you accept and agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you must not use the Service. APIAtlas may update these terms at any time. Your continued use following any changes constitutes your acceptance of the new terms.

2. Service Description

APIAtlas is a software-as-a-service platform that discovers, catalogs, analyzes, and monitors Application Programming Interfaces (APIs) within your infrastructure. Our Service includes network traffic analysis, automatic API classification using machine learning, comprehensive API inventory management, real-time monitoring and alerting, and consolidation recommendations.

We provide the Service on an "as-is" basis. While we strive for accuracy in API discovery and classification, we cannot guarantee that all APIs will be discovered or classified with 100% accuracy. Complex or obfuscated APIs may not be detected.

3. Account Registration & Responsibilities

To use APIAtlas, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account. You are responsible for maintaining the security of your deployment environment and ensuring that APIAtlas is only deployed in systems you own or have explicit authorization to monitor.

You must comply with all applicable laws and regulations when using our Service. You are prohibited from using APIAtlas to monitor systems without proper authorization, intercept traffic for unauthorized purposes, or engage in any illegal activity.

4. Acceptable Use Policy

You agree not to: deploy APIAtlas without proper authorization to monitor the target network; attempt to gain unauthorized access to APIAtlas systems or other users' data; reverse-engineer, decompile, or attempt to discover the source code or trade secrets; use the Service to monitor or analyze traffic of systems you do not own or have authorization to analyze; engage in any activity that disrupts or damages our infrastructure; or attempt to circumvent security measures.

Additionally, you agree not to send viruses, malware, or other harmful code; engage in denial-of-service attacks; harvest or scrape data without authorization; impersonate others; or use the Service for any purpose that violates law or these terms.

5. Intellectual Property Rights

Our IP: APIAtlas, including all software, code, algorithms, documentation, and interfaces, is owned by APIAtlas Corporation and protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service according to these terms.

Your Data: You retain all rights to your data, including your network traffic data and API inventory. You grant us a worldwide, royalty-free license to use your data to provide and improve the Service, including training our classification models on anonymized data.

Feedback: If you provide feedback, suggestions, or ideas about our Service, we may use them without obligation or compensation to you.

6. Subscription & Payment

Plans & Pricing: We offer different subscription plans with specified features, API capacity, and support levels. Pricing is listed on our website and is subject to change with 30 days' notice. Price changes will not affect your current billing period.

Billing: You authorize us to charge your payment method for subscription fees at the beginning of each billing period. Billing will continue automatically until you cancel. Invoices are provided electronically.

Taxes: You are responsible for any applicable sales, use, or other taxes. We will charge sales tax where required by law. If you provide a valid tax exemption certificate, we will not charge sales tax.

Refunds: Monthly subscriptions may be cancelled anytime with no refund of pre-paid fees. Cancellation takes effect at the end of the current billing period. Annual subscriptions may be cancelled within 14 days of purchase for a full refund.

7. Service Uptime & Availability

SLA: We commit to 99.9% uptime for our cloud-hosted service, measured monthly. This excludes planned maintenance and events beyond our control. If we fail to meet the SLA, you may be eligible for service credits according to our SLA agreement.

Maintenance: We may perform planned maintenance that temporarily interrupts service. We will provide at least 48 hours' notice for scheduled maintenance except in emergencies.

No Warranty: The Service is provided "as-is" without warranty of any kind. We do not guarantee continuous, uninterrupted, or error-free service. Data loss, though unlikely, is possible.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APIATLAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF APIATLAS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and whether or not we have been advised of the possibility of damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless APIAtlas and our officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from: your violation of these terms; your use of the Service in violation of law; your deployment of APIAtlas without proper authorization; or your violation of any third-party rights. You will control the defense of any such claim and will not settle it without our consent.

10. Data Protection & Security

Data Handling: You are responsible for ensuring that deploying APIAtlas does not violate any laws or policies in your jurisdiction. For sensitive data or regulated environments (healthcare, finance, etc.), you may need compliance certifications (HIPAA, PCI-DSS, etc.). We offer compliance configurations for Enterprise customers.

Backup: We backup your data regularly, but you are responsible for maintaining your own backups. We are not liable for data loss.

Export: You can export your API inventory at any time. Upon account cancellation, your data will be available for 30 days before deletion.

11. Disclaimers

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

We cannot guarantee that all APIs in your infrastructure will be discovered. Complex, obscured, or proprietary protocols may not be detected. API classification is based on patterns and may occasionally be inaccurate.

12. Termination

You may terminate your account at any time by requesting cancellation through your account settings. Upon cancellation, your access to the Service will end immediately, though you may download your data within 30 days.

We may terminate or suspend your account if you violate these terms, engage in prohibited activities, fail to pay required fees, or if required by law. Termination for cause is immediate with no refund of prepaid fees.

Upon termination, your data will be deleted within 30 days except where retention is legally required.

13. Third-Party Services & Links

The Service may integrate with or link to third-party services, APIs, or websites. We are not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is governed by their terms.

We may integrate with tools like Swagger, Postman, or API gateways. We are not liable for issues arising from third-party integrations.

14. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of California, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in California.

Before litigation, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration under California law, except that either party may seek injunctive relief in court for breach of intellectual property rights.

15. Modifications to Service

We may modify, suspend, or discontinue the Service or any features with 30 days' notice. If we discontinue a core service tier, we will provide 90 days' notice and a refund of any prepaid fees. Substantial feature changes will be communicated in advance.
